Great Oak Digital – Terms and Conditions of Service
1. Introduction
These Terms and Conditions (“Terms”) govern your use of the Great Oak Digital website and your purchase of products and services available through our online store. By purchasing from our ecommerce platform, you agree to be legally bound by these Terms. Separate service agreements apply for any custom IT services purchased outside of the ecommerce store.
2. Binding Agreement
By accessing this website, making a purchase, or subscribing to any service offered via our ecommerce store, you acknowledge that you have read, understood, and agreed to these Terms. For some transactions, we may require explicit agreement by way of a checkbox or similar action at checkout.
3. Electronic Communication
By engaging with us electronically, you consent to receive communications from us electronically, including email notifications, order confirmations, renewal notices, and legal disclosures. These electronic communications satisfy any legal requirement that communications be in writing.
4. Intellectual Property

5. Products and Services Offered
Our ecommerce store offers the following types of products and services:

Custom IT services such as Remote Monitoring and Management (RMM), vCIO, network/server support, and managed security services are not sold via this ecommerce store and are governed by separate agreements.
6. Subscription Terms, Renewals, and Cancellations
6.1 Subscription Terms
Subscription products are sold for the duration specified at checkout (e.g., monthly or annual terms). If unspecified, subscriptions have a default term of 1-year.
6.2 Auto-Renewal
All subscriptions automatically renew at the end of the current term for the same duration at the then-current renewal price, unless you cancel as described below.
6.3 Cancellation
To cancel or modify your subscription, you must provide written notice at least 30 days prior to your renewal date for monthly or annual subscriptions. Multi-year contracts, where applicable, require 60 days’ notice.
6.4 Price Changes
We reserve the right to modify subscription pricing upon renewal. Notification of any price change will be provided at least 45 days before the renewal date.
6.5 Non-Payment
Failure to make timely payment may result in service suspension or termination.
6.6 Refunds
All subscription sales are final and non-refundable once the renewal period begins, except where required by law.
7. Third-Party Products and Services
Certain products offered on our website, such as Office 365 and other software licenses, are provided by third-party vendors. Your use of these products is subject to the terms and conditions of the respective third parties. Great Oak Digital is not responsible for third-party service changes, outages, or discontinuation.
8. Responsible Use
You agree to use our website and services in accordance with all applicable laws and these Terms. Prohibited actions include distributing malware, conducting unauthorized data collection, or disrupting website operations.
9. Payment Terms
9.1 Payment Method & Authorization
By accepting these Terms, you authorize Great Oak Digital (“GOD”) to automatically charge your designated payment method (credit card, debit card, ACH or other accepted method) on file (“Autopay”) for all recurring, subscription-based services and any associated fees.
9.2 Billing Schedule & Due Date
For all customers receiving ongoing services under subscription, you agree that payment will be automatically processed via Autopay on or before the 5th day of each calendar month for any amounts due. Invoices will be generated and delivered in advance; failure to have a valid payment method with Autopay enabled by the 1st of the month may result in delayed service, suspension, or termination under the “Non-Payment” provisions below.
9.3 Customer Responsibility for Payment Information
You are responsible for providing and maintaining valid payment details and ensuring that Autopay is enabled and active. Failure to update expired or invalid payment methods may lead to service suspension or termination.
9.4 Non-Payment, Suspension, and Termination
If a scheduled Autopay attempt fails, and payment is not received by the 10th day of the month, GOD reserves the right to suspend or terminate services until payment is made in full. Reconnection of services may require upfront payment of all outstanding amounts plus a reconnection fee (if any).
9.5 No Alternative Payment Terms Unless Explicitly Agreed
Unless otherwise mutually agreed in writing and signed by an authorized representative of GOD, no customer shall receive alternative payment terms (e.g., “Net 30,” “Net 45,” or “End-of-Month”) — Autopay by the 5th is the standard and required payment method for all ongoing services.
9.6 Changes to Payment Method or Schedule
GOD may modify the billing schedule or payment method upon 30 days’ prior written notice to you. Continued use of services after the notice period constitutes acceptance of the modified terms.
9.7 Taxes
Applicable sales tax will be calculated and applied based on your shipping or billing address, as required by law.
10. Shipping, Delivery, and Risk of Loss
10.1 Shipping
Physical products will be shipped using standard commercial carriers. Delivery times are estimates and not guaranteed.
10.2 Risk of Loss
Risk of loss and title for physical products pass to you upon our delivery to the carrier.
11. Returns and Refunds
11.1 Physical Products
Returns for physical products are accepted within 30 days of delivery, subject to our Return Policy. Items must be unopened, unused, and in original packaging.
11.2 Digital Products and Subscriptions
All sales of digital products and subscriptions are final and non-refundable, except as required by law.
12. Manufacturer Warranties and Returns
12.1 Manufacturer Warranties
All products that include a manufacturer warranty are subject to the terms and conditions of the respective manufacturer’s warranty policy. Great Oak Digital does not provide any separate or additional warranty beyond what is offered by the manufacturer.
12.2 Warranty Administration
We will assist in administering manufacturer warranties when possible. This may include:
Returning defective products to us for processing
Directing you to a factory-authorized repair center
Facilitating a factory-direct return as permitted by the manufacturer
We must comply with each manufacturer’s return and warranty policies, including any requirements for prior authorization, proof of purchase, or adherence to deadlines for returns.
12.3 Limitations
Warranty remedies are limited to repair, replacement, or refund as specified by the product manufacturer. Great Oak Digital is not liable for any damages beyond those remedies, including incidental or consequential damages arising from defective products.
12.4 No Implied Warranties by Great Oak Digital
Except where prohibited by law, Great Oak Digital disclaims all implied warranties, including but not limited to merchantability and fitness for a particular purpose.
13. Warranties and Disclaimers
Our website and its content are provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the website, products, or services, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted or error-free service. Any reliance on website content is at your own risk.

To the maximum extent permitted by law, Great Oak Digital’s total liability for all claims relating to any purchase will not exceed the total amount paid by you for the specific product or service giving rise to the claim in the 12 months preceding the event.

25. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Maryland, USA. Disputes shall be resolved through binding arbitration in Maryland under the rules of the American Arbitration Association.
